1. Acceptance of Terms

These Terms of Use ("Terms") govern your access to and use of the website located at www.bionic-partners.com (the "Site"), together with any executive education programs, mentorship programs, executive partner services, materials, content, and communications provided by Bionic Partners ("Bionic Partners," "we," "us," or "our"), collectively referred to as the "Services."

By accessing the Site, registering for a program, purchasing Services, or otherwise using any part of the Services, you ("you," "your," or "User") agree to be bound by these Terms. If you are accessing the Services on behalf of a company, organization, or other legal entity, you represent that you have the authority to bind that entity, in which case "you" refers to that entity.

If you do not agree to these Terms, do not access or use the Site or Services.

2. Changes to These Terms

We may revise these Terms at any time by updating this page. Material changes will be indicated by revising the "Last Updated" date above. Your continued use of the Site or Services after changes are posted constitutes acceptance of the revised Terms. We encourage you to review these Terms periodically.

3. Eligibility

The Services are intended for business professionals, executives, investors, and organizational leaders. By using the Services, you represent that you are at least 18 years of age and are accessing the Services in a professional or business capacity, or on behalf of an entity with the authority to do so.

4. Description of Services

Bionic Partners provides executive education and partner services related to artificial intelligence, data, technology, and business leadership, including but not limited to:

  • Executive Education — scheduled or private group sessions and courses (e.g., single-session workshops and multi-day programs) covering AI value creation, leadership, and data strategy topics.

  • Mentorship Programs — structured, one-on-one professional development engagements (e.g., 6-month and 12-month programs) consisting of scheduled sessions, curated materials, and limited email correspondence.

  • Executive Partner Services — ongoing advisory retainer engagements providing independent perspective, market and technology intelligence, and review of strategies, business cases, and related materials.

Bionic Partners reserves the right to modify, suspend, discontinue, or change the format, content, pricing, or availability of any Service at any time, with or without notice, except as otherwise required by a specific written agreement or order confirmation between you and Bionic Partners.

5. Not Consulting, Legal, Financial, or Investment Advice

Bionic Partners is an executive education and partner services company. Our content and services are intended to build the knowledge, judgment, and perspective of the individuals we work with. They are not:

  • A substitute for professional legal, tax, accounting, financial, or investment advice;

  • Investment advice, and Bionic Partners is not a registered investment adviser or a provider of securities or investment advice;

  • A guarantee of any particular business outcome, financial result, valuation impact, or performance improvement;

  • A recommendation to take or refrain from any specific business, financial, technology, or investment action.

Any decisions you or your organization make based on information, perspectives, frameworks, or discussions provided through the Services are made at your own discretion and risk. You should consult qualified legal, financial, tax, and other professional advisors before making decisions with legal, financial, or investment consequences.

6. Registration, Accounts, and Orders

Certain Services require registration, a signed order form, a statement of work, or payment prior to access. You agree to:

  • Provide accurate, current, and complete information when registering or ordering;

  • Maintain the confidentiality of any registration, attendance, and login credentials issued to you;

  • Not share, transfer, or delegate personally assigned Services to anyone else without prior approval from Bionic Partners;

  • Notify us promptly of any unauthorized use of your account or credentials;

  • Be responsible for all activity that occurs under your account.

Where a separate written agreement, order form, or statement of work governs a specific engagement, the terms of that agreement will govern in the event of a conflict with these Terms, unless that agreement states otherwise.

7. Payment, Fees, and Cancellations

  • Fees for Services are as quoted at the time of registration, order, or engagement and are due according to the payment terms communicated to you at that time.

  • Unless otherwise stated in a specific order, program description, or engagement agreement, fees are non-refundable.

  • Cancellation, rescheduling, and other adjustments for a specific program or offering will be as stated in the applicable program description, order confirmation, or engagement agreement, which supplements these Terms.

  • We reserve the right to change published pricing prospectively. Changes will not affect fees already agreed for an active engagement.

8. Intellectual Property

8.1 Ownership

All content made available through the Site or Services — including course materials, curricula, frameworks, slide decks, recordings, written materials, assessments, templates, the Bionic Partners name and logo, and the design and content of the Site itself — is owned by Bionic Partners or its licensors and is protected by copyright, trademark, and other intellectual property laws.

8.2 Limited License

Subject to your compliance with these Terms and, where applicable, full payment of applicable fees, Bionic Partners grants you a limited, non-exclusive, non-transferable, revocable license to access and use course and program materials solely for your own internal professional development or, where a program is delivered to your organization, for internal use by your organization's participating personnel.

8.3 Restrictions

You may not, without our prior written consent:

  • Copy, reproduce, republish, distribute, or resell any materials, frameworks, or content;

  • Record, transcribe, or redistribute any live session, mentorship discussion, or conversation;

  • Use Bionic Partners materials to create derivative training programs, courses, or competing offerings;

  • Remove or alter any copyright, trademark, or proprietary notice contained in the materials;

  • Use the Bionic Partners name, logo, or founder likeness in marketing or promotional materials without authorization.

9. Confidentiality

In the course of its programs, Bionic Partners may receive access to non-public business, strategic, financial, or technical information from you or your organization. Bionic Partners will use reasonable care to maintain the confidentiality of such information and will not disclose it to third parties except as necessary to deliver the Services, as required by law, or as otherwise agreed in writing. Where a separate mutual non-disclosure or confidentiality agreement is executed between the parties, that agreement will govern the treatment of confidential information.

Likewise, discussions, frameworks, and materials Bionic Partners shares with you that are marked or reasonably understood to be proprietary should not be disclosed to third parties without our consent, except as needed for your organization's internal use of the Services.

10. Acceptable Use

You agree not to:

  • Use the Site or Services for any unlawful purpose or in violation of these Terms;

  • Attempt to gain unauthorized access to the Site, our systems, or other users' accounts or data;

  • Interfere with or disrupt the operation of the Site or the delivery of any Service;

  • Upload or transmit viruses, malware, or other harmful code;

  • Misrepresent your identity or affiliation, or share access credentials with individuals not authorized to receive the Services;

  • Use automated means (scraping, bots, etc.) to access or extract content from the Site without our prior written consent.

11. Third-Party Links and Content

The Site may contain links to third-party websites or resources (including the founder's personal website and LinkedIn profile). These links are provided for convenience only. Bionic Partners does not control, does not endorse, and is not responsible for the content, accuracy, or practices of any linked third-party site.

12. Disclaimers

THE SITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SITE OR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

Bionic Partners does not warrant or guarantee any specific business result, financial outcome, valuation change, operational improvement, or career outcome from participation in any program, mentorship engagement, or relationship. Outcomes depend on numerous factors outside our control, including your organization's execution, market conditions, and business context.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, BIONIC PARTNERS AND ITS OWNERS, EMPLOYEES, CONTRACTORS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, BIONIC PARTNERS' TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE TOTAL FEES PAID BY YOU TO BIONIC PARTNERS FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM DURING THE SIX (6) MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

14. Indemnification

You agree to indemnify, defend, and hold harmless Bionic Partners and its owners, employees, and contractors from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your violation of these Terms; (b) your misuse of the Site or Services; or (c) decisions or actions taken by you or your organization based on the Services, except to the extent caused by Bionic Partners' gross negligence or willful misconduct.

15. Termination

Bionic Partners may suspend or terminate your access to the Site or Services, without refund where permitted by law, if you violate these Terms or engage in conduct we reasonably believe is harmful to Bionic Partners, other users, or third parties. You may discontinue use of the Site at any time. Termination of Site access does not, by itself, terminate a separate written engagement agreement, which will be governed by its own termination terms.

Sections relating to intellectual property, confidentiality, disclaimers, limitation of liability, indemnification, and governing law will survive termination of these Terms or any engagement.

16. Privacy

Your use of the Site and Services is also subject to our Privacy Policy, which describes how we collect, use, and protect information submitted through the Site, including contact and inquiry forms.

17. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of North Carolina, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Services will be subject to the exclusive jurisdiction of the state and federal courts located in North Carolina, and you consent to personal jurisdiction and venue there.

18. General Provisions

  • Entire Agreement. These Terms, together with any applicable order form, program description, or engagement agreement, constitute the entire agreement between you and Bionic Partners regarding the Services and supersede any prior agreements on the subject.

  • Severability. If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.

  • No Waiver. Our failure to enforce any provision of these Terms will not constitute a waiver of that provision.

  • Assignment. You may not assign or transfer these Terms without our prior written consent. Bionic Partners may assign these Terms in connection with a merger, acquisition, or sale of assets.

  • Force Majeure. Bionic Partners will not be liable for delays or failures in performance resulting from causes beyond its reasonable control.
